  • 详情 企业上市预期成功率、ESG管理与IPO绩效
    随着监管部门与社会各界对于企业的ESG表现日益关注,本文考察拟上市企业(特别是IPO预期成功率较低的企业)是否有动机通过强化其ESG表现,从而增强其IPO成功概率。本文基于大语言模型对拟上市公司招股说明书所呈现的ESG绩效进行量化评估,并系统考察企业IPO预期成功率、招股说明书ESG绩效与IPO最终成功率之间的互动关系。研究发现:(1)企业IPO预期成功率越低,该企业越可能在其招股说明书中展现出较佳的ESG绩效;(2)企业的ESG绩效强化行为显著提升了其IPO通过概率。这一效应在证券监管部门更为关注企业社会责任时以及在高污染行业中更为显著。进一步分析表明,对于IPO预期成功率较低的企业,其招股说明书中的ESG表现无法有效预测其上市后的ESG绩效,这表明监管部门仍需警惕此类企业“漂绿”上市的风险。本文研究结论对于证券监管部门和投资者都具有重要的决策参考价值。
  • 详情 IPO申购资金冻结对固定收益市场冲击研究
    本文利用2006至2015年期间A股IPO申购资金冻结政策,研究周期性流动性紧缩对货币市场和债券市场的影响。我们发现,IPO申购资金冻结显著推高主要货币市场利率:银行间隔夜回购利率、交易所隔夜回购利率和隔夜Shibor平均分别上升12.4、38.3和11.6个基点,且利率上升幅度与IPO资金冻结规模呈显著正相关关系。IPO资金冻结同时造成货币市场交易量和交易结构出现显著变化。此外,IPO资金冻结还推高部分债券市场利率,引发企业、金融机构甚至政府为应对流动性紧张而改变债券发行计划,各类信用债乃至国债在IPO资金冻结期间的日均发行量普遍下降20%至30%。最后,我们发现虽然央行会在IPO资金冻结期间通过逆回购向金融市场注入流动性,然而并不足以抵消IPO资金冻结造成的冲击。本文揭示了流动性冲击的跨市场溢出效应,强调了金融政策跨市场协调在防范系统性金融风险方面的重要性。

    This paper investigates the gambling preference of Chinese investors in the convertible bond (CB) market through a natural experiment—the 2018 amendment of Article 142 of the Company Law. Utilizing CB issuance data from 2016 to 2023, we employ a cohort difference-in-difference approach and find a 4% to 7% increase in IPO premiums for high-repurchase-expectation CBs across various measures. This significant increase indicates that the legal revision reshapes investors’ expectation and adjusts their valuation of CBs. Furthermore, the event-study analysis reveals the escalating impact of legal revision, driven by the herding behavior of gambling investors.
  • 详情 Does Cross-Asset Time-Series Momentum Truly Outperform Single-Asset Time-Series Momentum? New Evidence from China's Stock and Bond Markets
    We revisit cross-asset time-series momentum (XTSM) and single-asset time-series momentum (TSM) in China's stock and bond markets. With a fixed-effects model, we find a positive momentum from bonds to stocks and a negative momentum from stocks to bonds, with both momentum persisting for no more than six months. By employing a cross-grouping method, we find that the choice of lookback periods and asset signals impacts the performance of XTSM and TSM. A comparison between XTSM, TSM, and time-series historical (TSH) portfolios reveals that XTSM outperforms in small/midcap stocks and government bonds, while its performance is weak in large-cap stocks and corporate bonds. A spanning test confirms that XTSM generates excess returns that other pricing factors can not explain. XTSM is more prone to momentum crashes. Increased market stress has similarly adverse effects on XTSM and TSM. Furthermore, Market illiquidity, IPO counts, new investor accounts, and consumer confidence index positively correlate with the returns of XTSM and TSM portfolios, while IPO first-day return and turnover rate correlate negatively. The effects of these sentiment indicators exhibit heterogeneity.
  • 详情 IPO Lottery, Mutual Fund Performance, and Market Stability
    This paper examines how profits from mutual funds’ participation in initial public offerings (IPOs) shape fund performance, investor flows, and market stability in China. Using comprehensive fund–IPO matched data from 2016 to 2023, we decompose fund returns into an IPO-lottery component and residual performance. At the aggregate level, IPO allocations add 2.05% to annualized excess returns; net of IPOs, excess return is −0.35% per year. At the individual level, the contribution of IPO profits varies substantially across funds and is most pronounced among mid-sized funds, inflating perceived managerial skill. Funds with higher IPO-driven gains attract greater inflows despite the absence of performance persistence, leading to capital misallocation. At the market level, IPO-profit-induced trading (PIT) predicts short horizon price run-ups that dissipate and reverse over subsequent months, while raising both total and idiosyncratic volatility. Overall, IPO profits temporarily enhance reported performance but erode market stability by propagating non-fundamental shocks through secondary markets.
  • 详情 Early IPO Registration System Reform and Financialization of Real-Sector Enterprises: A Quasi-Natural Experiment Based on the ChiNext Market
    The reform of the IPO registration system is a crucial step toward the maturity, improvement, and marketization of the securities market. In recent years, the trend of corporate financialization has become increasingly evident. Based on data from firms listed on the ChiNext Market and the Main Board, this paper constructs a Propensity Score Matching-Difference-in-Differences (PSM-DID) model and an RDD-DID model to examine the impact of IPO registration system reform on corporate financialization and analyze its underlying mechanisms from multiple perspectives. The estimation results of both models indicate that the IPO registration system reform has significantly increased firms’ financialization levels. Furthermore, a series of robustness checks confirm the reliability of the findings. The mechanism analysis reveals that the reform has promoted corporate financialization by lowering listing thresholds, alleviating financing constraints, and intensifying market competition. Meanwhile, its information disclosure mechanism has to some extent curbed financialization. Further heterogeneity analysis shows that the reform’s promoting effect is more pronounced in non-state-owned enterprises, firms with lower growth potential, and those with weaker corporate social responsibility (CSR) performance. This study enriches the literature on the policy impact of IPO registration system reform, provides a new perspective on how such reforms influence corporate financialization, and offers important implications for curbing excessive financialization in real-sector enterprises, deepening IPO registration system reform, and further improving capital markets.

    本文基于2000-2024年手工收集的IPO公司上市前的现金分红数据,系统考察了上市前现金分红与公司长期市场表现的关系。研究发现,(1)上市前实施高额现金分红的公司,其IPO后长期市场表现显著较差,这一负面效应在成长型公司和融资约束较高的公司中尤为突出;(2)通过构建考虑公司盈利能力、成长性、规模及杠杆水平的超额分红指标,发现超额分红公司的IPO前分红水平与上市后长期表现呈显著负相关,而分红不足公司则呈现微弱的正相关关系;(3)IPO前超额分红行为通过挤占公司资本性支出、降低投资效率等渠道削弱了企业的增长潜力。本研究不仅丰富了公司股利政策的经济后果研究,也为完善新股发行监管制度提供了重要的经验证据。
  • 详情 Passive investors, active moves: ETFs IPO participation in China
    We examine a unique phenomenon among exchange traded funds (ETFs) in the Chinese stock market, finding that ETFs pervasively participate in initial public offerings (IPOs) to profit from underpricing. The ETF IPO participation passes primary market benefits to retail investors, providing benefits from hard-to-reach investment opportunities. These active moves showing ETFs are not entirely passive highlight the gains of the active management. However, we observe that this activity leads to increased non-fundamental volatility and short-term return reversals, as well as decreased investment-q sensitivity among ETF member stocks, presenting a negative externality. Using a policy shock as the quasi-natural experiment, we establish the causality of these effects, underscoring the dual nature of ETFs active management.
  • 详情 Short-sale constraints and the idiosyncratic volatility puzzle: An event study approach
    Using three natural experiments, we test the hypothesis that investor overconfidence produces overpricing of high idiosyncratic volatility stocks in the presence of binding short-sale constraints. We study three events: IPO lockup expirations, option introductions, and the 2008 short-sale ban on financial firms. Consistent with our prediction, we show that when short-sale constraints are relaxed, event stocks with high idiosyncratic volatility tend to experience greater price reductions, as well as larger increases in trading volume and short interest, than those with low idiosyncratic volatility. These results hold when we benchmark event stocks with non-event stocks with comparable idiosyncratic volatility. Overall, our findings suggest that biased investor beliefs and binding short-sale constraints contribute to idiosyncratic volatility overpricing.
