  • 详情 I Am Who I Am, Share Repurchases Under Economic Policy Uncertainty: Evidence from China
    Using sample of Chinese listed firms from Q1 2017 to Q4 2022, this article examines the impact of economic policy uncertainty on share repurchases. We find that economic policy uncertainty significantly increases the probability and scale of open market share repurchases. Private enterprises, government-supported enterprises, innovative enterprises, and investment hotspot enterprises repurchased more shares during periods of high economic policy uncertainty. Additionally, the market value of repurchase programs issued during periods of high economic policy uncertainty is larger. We also discover that economic policy uncertainty substantially influences the characteristics, timing, and outcomes of the repurchase programs. Lastly, this article confirms that share repurchase behavior has a similar effect to voluntary disclosures and can alleviate the information asymmetry triggered by economic policy uncertainty. In summary, Chinese listed firms have resorted to more share repurchases during periods of high economic policy uncertainty to convey their actual value and boost investor confidence, aligning with the signaling motive. Open market share repurchases surface as an efficacious instrument to cope with the risk from economic policy uncertainty.
  • 详情 Auditor Choice in Reverse Mergers: Evidence from China
    Using data from 123 reverse mergers (RMs) in China, this study investigates the determinants and economic consequences of auditor choice in RMs. We find that the choice of a new auditor instead of the incumbent auditor is not related to auditor competence but to the relative bargaining power of RM firms and publicly listed firms (shell firms), and that the probability of choosing new auditors is higher when RM firms have more bargaining power relative to shell firms. We also find that hiring new auditors in the RM is associated with a higher valuation of injected assets and higher pre-listing income-increasing discretionary accruals in RM firms. Furthermore, post-merger firms exhibit drops in accounting performance and firm value and are more likely to restate their financial reports within 3 years of listing when new auditors are appointed in RMs. Finally, the cross-sectional test shows that this effect mainly exists in the context of RMs where the newly appointed auditor is a non-Big 10 auditor and a non-specialist auditor. Overall, our results emphasize the role of RM firms and shell firms in auditor choice for RMs and highlight the implications of such a joint decision on investor protection.
  • 详情 Bond Market Information Disclosure and Industry Spillover Effect
    Purpose – The aim of this paper is to examine the effect of information disclosure by unlisted bond issuers on the stock price informativeness of listed firms in the same industry. Design/methodology/approach – This paper takes advantage of information disclosure during the bond issuance and examines the spillover effect of unlisted bond issuers’ information disclosure on listed firms in the stock market. The sample is composed of A-share firms listed on the Shanghai and Shenzhen stock exchanges from 2007 to 2018. All the data are obtained from the China Stock Market and Accounting Research and WIND databases. The impact of bond market information disclosure on price informativeness of listed firms in the same industry is identified through multivariate regression analyses. Findings – Empirical results show that price informativeness of listed firms has a significantly positive association with the information disclosure of same-industry unlisted bond issuers. Further analyses show that the above finding is more significant when information disclosure of bond issuers is a more important channel for acquiring industry information (i.e. when industry is more concentrated, when economic uncertainty is high, and when industry information is less transparent) and understanding the industry competitive landscape (i.e. when bond issuers are relatively large, when bond issuers and listed firms have more direct product competition, when bond issuance firms are large-scale state-owned business groups), and when there are more cross-market information intermediaries (i.e. more cross-market institutional investors and more sellside analysts).This paperindicates that information disclosure of bond issuers has a positive spillover effect on the stock market. Originality/value – The novelty of the research is that the authors examine industry information spillover from unlisted firms to listed firms leveraging on unlisted firms’ information disclosure in bond markets.
  • 详情 Spillover Effects Within Supply Chains: Evidence From Chinese-Listed Firms
    There is increasing attention on information transfers along supply chain partners for firm (extreme) events. This growing literature finds spillover effects following certain types of firm events. Using data from credit rating actions of Chineselisted firms over the period between March 2007 and May 2020, we examine the spillover effects of supply chains by focusing on the market reactions of event firms to the action announcements. We find strong evidence of spillover effects driven by the market reactions of event firms, which are enhanced through information diffusion channels as supply chain partners receive more investor attention. Moreover, the effects are stronger when event firms’ market reactions are negative, event firms are nonstated-owned, the industry concentration of event firms is higher, or the suppliercustomer business relationship is closer. Overall, these findings highlight the role of investor attention in addition to network characteristics in supply chain spillovers.
  • 详情 Green Governance: Exploring the Impact of Foreign Experience on Corporate Environmental Disclosure in China
    This study investigates the relationship between directors’ foreign experience and corporate environmental disclosure in Chinese listed firms from 2009 to 2017. The research shows that directors with foreign experience have a positive and significant impact on corporate environmental disclosure. This effect is more pronounced in nonstate-owned enterprises, where directors have greater influence over managerial decisions. Additionally, the study suggests that in industries with high energy consumption, high pollution, or overcapacity, the positive effect can be further enhanced by having at least three directors with foreign experience or foreign experience members in the audit committee. The impact of experiential diversity on environmental disclosure is greater than that of board gender and independence diversity. The findings suggest that policymakers and firms prioritize the recruitment of directors with diverse experiences to improve their environmental disclosure practices.
  • 详情 Common Ownership and Knowledge Spillovers in Developing Countries: Evidence from Chinese Listed Firms
    Common institutional ownership can enhance knowledge spillovers by increasing portfolio firms’ awareness about each other’s innovation. By investigating listed electronic hardware firms in China for 2000-2016, we find that when common ownership by mutual funds is higher between a firm pair, it is more likely that these two firms cite each other’s patents. To confirm causality, we show that even the exogenous increase in firms’ common ownership following their inclusion into the stock index still positively influences the citing likelihood. We also find that such citations are taken place in a timely manner. Additionally, this positive effect is robust when the effects of overlapping board members and common ownership by other types of institutional investors are controlled for. This effect is more pronounced among nonneighboring firms, when non-neighboring firms are close to their common owners, when common owners hold shares longer, and when firms’ executives have lower incentive to communicate (i.e., SOEs). Last, we find that common ownership by mutual funds also enhances knowledge spillovers through third-party patents. This paper deepens the understanding of knowledge spillovers among firms in developing countries.
  • 详情 Backing by the Paternalistic Government – The Social Responsibility of the SOE-Held Firms
    Research has argued that state-owned enterprises (SOEs) should bear more social responsibility than other listed firms, because their own goals include maintaining social stability and promoting social welfare. In contrast with the privatization of SOEs observed in other countries, in China, some listed firms’ major shareholders have become SOEs in recent years. This transition offers a good opportunity to investigate the impact of ownership change on firms’ corporate social responsibility (CSR). Using the propensity score matching difference-in-differences method, we document that the CSR performance of these firms does not improve when their ownership structure changes, and it can even worsen. Our results remain robust to a series of tests. Further investigating the underlying economic mechanism, we uncover those political connections, bank financing, and government subsidies play critical roles in determining the negative effect of ownership structure change on public firms, which is consistent with the soft budget constraint framework. In an additional analysis, we find that CSR performance is poor for manufacturing industry firms after ownership structure change. After calculating the frequency of keywords appearing in the annual reports of such firms, we find them to be satisfied with their new SOE background after ownership structure change. Our paper provides a possible explanation for the phenomenon of SOEs becoming major shareholder of listed firms.
  • 详情 Nonlocal CEOS and Corporate Financial Fraud: Evidence from Chinese Listed Firms
    This study examines whether firms’ financial fraudulent behavior varies when local firms are led by nonlocal CEOs. Building on the social identity theory, we argue that nonlocal CEOs, due to their different location-based social identities, are perceived as outgroup leaders and face intergroup bias from stakeholders within local firms. Therefore, nonlocal CEOs are more likely to conform to laws and regulations and reduce corporate financial fraud to enhance their legitimacy in leading local firms. Using panel data on Chinese listed firms from 2007 to 2020, we find a significantly negative correlation between nonlocal CEOs and the likelihood of corporate financial fraud. Furthermore, our moderating analysis indicate that the negative effect of nonlocal CEOs on corporate financial fraud is stronger (a) for CEOs who have neverwon awards, (b) in firms with poor financial performance and (c) in regions with tight cultures. Additional mechanism tests indicate that nonlocal CEOs’ outgroup identity is more prominent in regions with low regional dialect diversity and local private-owned enterprises. Overall, these findings suggest that choosing a nonlocal CEO warrants attention from the firm’s top management teams and stakeholders.
  • 详情 Environmentally Inclined Politicians and Local Environmental Performance: Evidence from Publicly Listed Firms in China
    We investigate whether and how environmentally inclined politicians (EIPs), i.e., politicians with prior environment-related work experience, affect local environmental performance in China. We find that firms located in cities with EIPs have lower levels of sulfur dioxide (SO2) emissions. The effect is attenuated when the politician is in his/her second term and among firms that are economically important. Firms in cities with EIPs commit fewer environmental violations, receive more green subsidies from the local government, and choose to establish new polluting subsidiaries in cities without EIPs. We also find that the economic performance of cities governed by EIPs is not statistically different from that of cities governed by non-EIPs. Furthermore, the promotion likelihood of EIPs is negatively related to local emission levels. The findings overall suggest that local officials strategically leverage their expertise in environment protection to allocate more effort on environmental causes.
  • 详情 State-owned Enterprises and Labor Unrest: Evidence from China
    Using an extensive panel of Chinese firms from the Annual Tax Survey and relying on labor unrest as shock to local social stability, we show that state-owned enterprises (SOEs) react to nearby labor unrest by creating additional employment at the expense of firm performance. Each SOE exposed to unrest hires 3% more employees, which is a sizeable aggregated effect. This effect is larger when labor unrest occurs in the same industry as the exposed SOEs, when local governments have sound fiscal budgets, and when governing mayors have stronger promotion incentives. SOEs obtain more fiscal benefits when they absorb additional labor. In contrast, non-SOEs do not react to labor unrest, and their performance is unaffected. Similar effects are detected when we use the population of Chinese listed firms. This paper provides evidence that SOEs internalize the goal of maintaining social stability and contribute to the growth of the non-state sector.
